MONTREAL, QUEBEC--Cervin Capital Corporation (the "Corporation"), a Junior Capital Pool company trading on The Alberta Stock Exchange, is pleased to announce that its proposed Major Transaction to acquire all of the issued and outstanding shares of Les Recherches R.A.N.K.I.N. Research Corporation ("Rankin") has been approved by the shareholders of the Corporation at a Special and Annual General Meeting held on Thursday April 29, l999. Rankin, carrying-on business under the name of "Boomerang", has been acquired, subject to final regulatory approval, for an aggregate acquisition cost of $3,344,000 payable by the issuance of 15,200,000 Class "A" shares of the Corporation at an agreed value of twenty-two cents ($0.22) per share. The shareholders of the Corporation have elected Messrs. Paul- Andre Savoie, Andre Boulay, Peter Lashchuk, Robert Nelson, Richard Lange and Rene Branchaud as the Corporation's new Board of Directors. The shareholders have also agreed to change the corporate name of the Corporation to R.A.N.K.I.N. Research Corporation/Corporation de Recherche R.A.N.K.I.N., the whole as outlined in an Information Circular dated March 26, 1999. Rankin markets a patented product, trademarked in Canada as a vehicle security system called "Boomerang", a cellular-based tracking system capable of locating stolen automobiles and other articles. The Boomerang functions indoors, underground, inside metal freight containers and in many other previously inaccessible conditions.
