"HOLIDAY DRAW 2002" CONTEST
Contest Rules


1. The Boomerang Tracking "Holiday Draw 2002" contest runs from 00:01 a.m. (EST) December 6, 2002 to 11:59 p.m. (EST) on December 20, 2002, inclusively.

ELIGIBILITY

2. This contest is open to all Quebec and Ontario residents with the exception of employees, agents and representatives of Boomerang Tracking inc. ("Boomerang Tracking"), its subsidiaries and affiliates, their advertising or promotional agencies, suppliers providing equipment, prizes and services in connection with this contest and all other people directly linked to this contest, as well as the members of their immediate family (father, mother, brothers, sisters, children), their legal or common law spouse, and all other people with whom these employees, representatives and agents reside. Participants must be at least 18 years old to enter this contest.

HOW TO PARTICIPATE

3. Visit the www.boomerangtracking.com Web site between December 6, 2002 and December 20, 2002 and follow the instructions in order to have access to the electronic entry coupon. Complete the coupon by filling in your last name, first name, email address and postal code. Submit your entry no later than 11:59 p.m. (EDT) on December 20, 2002. A message confirming your entry will be displayed on screen.

No purchase is required to participate in the contest. Only one (1) entry per e-mail address is permitted. The contest organizers reserve the right to disqualify any entrant who attempts to submit multiple entries.

PRIZE

4. The following prizes will be awarded: One (1) Boomerang2 tracking device with one (1) year of services included (value of $700)*; two (2) Boomerang windbreaker jackets (value of $85 each); ten (10) Boomerang2 tee-shirts (value of $10 each), for a total value of prizes of $970.

* The Boomerang2 tracking device prize includes the installation of this device in the vehicle, which must be performed at a Boomerang Tracking Inc. Authorized Dealer selected by Boomerang Tracking inc. The winner must sign Boomerang Tracking's standard Service Contract prior to the installation.

DRAW

5. On January 17, 2003, at the Boomerang Tracking offices in Montreal, a random electronic draw of thirteen (13) entrants will be held from amongst all eligible entries received for all the contest days in order to award the thirteen (13) prizes. Only one prize per person and per place of residence.

6. Odds of winning. The odds that an electronic entry is randomly selected depend on the total number of eligible entries received during the contest period.

GENERAL RULES

7. To be declared a winner, each randomly selected entrant must comply with the following:

7.1. Contest organizers must be able to reach the selected entrants via the email address submitted on the electronic entry coupon. Should this email address be invalid, the contestant's entry will be disqualified and another eligible entry drawn in its place. The winners must provide their mailing address and telephone number where they can be reached during business hours.

7.2. A Boomerang Tracking inc. representative will contact the winner by telephone. Selected entrants must correctly answer, unaided and within a set timeframe, a mathematical skill testing question that the contest organizers will ask by telephone.

7.3. Selected entrants must sign the declaration and release form, as more fully described in paragraph 11, and then return this form to the contest organizers by no later than fifteen (15) days after the date on which it is received.

The winners will receive their prize by registered courier services within the period of two (2) to four (4) weeks immediately following the date on which the contest organizers received their declaration and release form. Entrants who are not in compliance with the above mentioned contest rules and regulations will be automatically disqualified, will not be eligible for a prize and a new entrant may be randomly selected until a selected entrant is reached.

8. All entries are subject to verification by the contest organizers. All incomplete, fraudulent entries or entries received after the contest closing date will be automatically rejected. The decisions taken by the contest organizers are final and without possibility of appeal.

9. Prizes must be accepted as awarded and may not be transferred to another person or substituted for another prize.

10. By entering this contest, the winners authorize the contest organizers or those acting under their authority to use, if need be, their name, picture, image, statement related to the prize, place of residence and(or) voice for advertising purposes, without any form of remuneration.

11. By accepting their prize, the winners agree to save and hold harmless Boomerang Tracking, its subsidiaries and affiliates, its advertising and promotional agencies and their respective employees, agents and representatives from any liability or damages of any kind resulting from and arising out of their acceptance or usage of their prize. Prior to receiving their prize, the winners agree to sign a declaration and release form to this effect.

12. The contest organizers and the sponsors assume no responsibility for any malfunction or problems of any electronic component, any software or any telephone line regarding the loss or absence of network communication or any failing, incomplete, incomprehensible entry or entry deleted by any computer or any network, that may limit the possibility or prevent a person from taking part in the contest. The contest organizers and sponsors assume no responsibility for any damage or loss resulting or arising, directly or indirectly, in whole or in part, from the downloading of any software and forwarding of information pertaining to the contest entry.

13. The contest organizers reserve the right, at their entire discretion, to cancel, close or suspend this contest in whole in the event that a virus, computer bug, non authorized human intervention or any other cause beyond the control of the contest organizers could interrupt or affect the administration, security, impartiality or normal operation of the contest, subject to the approval of the Régie des alcohols, des courses et des jeux du Québec for Quebec residents.

14. For Quebec residents. Any disagreement with regard to the organization or management of a promotional contest may be submitted to the Régie des alcools, des courses et des jeux for settlement. Any disagreement with regard to a prize awarded may be submitted to the Régie only for the purpose of trying to solve the situation.

15. For the purpose of these rules and regulations, the entrant is the person whose name appears on the electronic entry coupon. If the case arises, it is this person who must answer the mathematical skill-testing question and to whom the prize will be awarded, subject to the above-mentioned paragraph 7.2.

16. In case of discrepancy between the French and English versions of these contest rules, the English version will prevail.
